About partnering
Licensing - Original Equipment Manufacturers and Custom Coaters
Halo management is currently negotiating licensing agreements with two classes of customers: A. manufacturers who will powder coat their products in the finishing lines of their own factories and B. regionally based custom coating contract shops who coat the products for small to mid-size manufacturers.
OEMs (Original Equipment Manufacturers)
An upfront "Set-up" fee and/or take or pay contract, all licensing agreements will include the following terms:
a. The licensee will be bound to purchase all equipment and materials for the process from Halo.
b. The licensing agreements will be product specific, meaning that a company making guardrail will be licensed for guardrail only. An additional license will be required for other products they choose to manufacture utilizing Halo's technology.
c. Halo will consult on a paid basis to any licensee regarding equipment needs, line changes and all other information required for the coating process.
Licensing discussions with OEM's in the Transportation and Consumer Goods markets are expected to begin in early Q4 2008.

Regionally Based Custom Coaters
A November 2007 article published in the trade magazine, 'Industrial Paint and Powder', featured the Halo Hi-Viz system, under an earlier company name 'North Coast Industries'. Since then, Halo has received a large number of requests for operating licenses from contract coating companies throughout the U.S. and the company is in the process of qualifying these application partners to insure necessary financial and quality control systems are in place.
The Custom Coater Licensing program will work in a manner similar to the licensing system for OEM's detailed above. With lower volumes and higher supervisory costs, however, the pricing on the raw materials will be higher and the initial license fee and due diligence requirements will be more rigorous. It is vital that each regionally licensed custom coater have the sound financial resources, high
quality standards and management teams in place to carry the Halo Brand.
Product Sales
Halo Inc will be selling two products to its licensees:
a. a proprietary resin that is the powder of a powder coating
b. a reflective blend application that adds the nighttime visibility to Halo Hi-Viz Coatings.
